Public Offer for the Provision of Paid Educational Services

1. Definitions
- Program – the online program Side Hustle YouTube Mastery (ShYM), developed by Max Chernov and delivered on the Kajabi platform.
- Provider – the company PERFECTSMM PTE. LTD., registration number, registered at 2 Venture Drive, #19-18, Vision Exchange, Singapore 608526
- Student – an individual who is at least 18 years old, accepts the terms of this Offer, and registers to participate in the Program.
- Platform – the Kajabi software used for conducting lessons, interacting between the Provider and the Student, and accessing Program materials.
- Acceptance – full and unconditional acceptance of the terms of this Offer by paying for the Program.
- Agreement – this agreement for the provision of paid educational services, concluded between the Provider and the Student in accordance with the laws of Singapore.
- Feedback – detailed responses to the Student's assignments with recommendations and advice on developing their YouTube channel, provided via the Platform.
- Assistant – a person (limited to one per Student) to whom the Student has granted access to the Program for completing assignments and receiving feedback on behalf of the Student. All actions of the Assistant are considered as actions of the Student.
2. Subject of the Agreement
2.1. The Provider undertakes to grant the Student access to the Program and to provide educational services, including feedback on completed assignments, and the Student undertakes to pay for these services.
2.2. Access to the Program is provided for 365 days from the date of payment. The Student may complete the Program at their own pace within this period.
3. Rights and Obligations of the Parties
3.1. Rights and Obligations of the Provider:
- Provide access to the Program and ensure appropriate conditions for its completion.
- Provide feedback on completed assignments.
- Grant access to the Program to the Student's personal Assistant upon the Student's request.
- The Provider is not responsible for the Student discontinuing the Program.
3.2. Rights and Obligations of the Student:
- The Student agrees to independently master the Program and not to share access with third parties.
- The Student is not permitted to copy, distribute, or otherwise transfer the Program materials.
- The Student is entitled to receive an electronic certificate upon completion of the Program within the specified period.
- The Student must submit materials for feedback related to only one YouTube channel and cannot receive feedback on additional channels.
- The Assistant may submit assignments and receive feedback only for the Student’s YouTube channel.
4. Technical Requirements and Support
4.1. To participate in the Program, the Student must ensure that their device meets the minimum system requirements, including a stable internet connection, a microphone, and a speaker.
4.2. Technical support is provided through a Telegram chat. A link to the chat is provided to the Student after logging into the Platform.
5. Course Conditions
5.1. Access to new modules of the Program is granted after the completion of previous modules and submission of assignments.
5.2. After 365 days, access to the Program and feedback is terminated. Extension of access is available for an additional fee.
6. Payment Terms
6.1. Payment for the Program must be made in full before the commencement of the course. The Student gains access to the Program upon payment.
6.2. If the Student withdraws from the course within 14 days of payment, they will receive a refund without providing a reason.
7. Refund Policy
7.1. The Student has the right to withdraw from the Agreement within 14 days of payment and request a refund. Refunds are typically processed within 7–20 business days, depending on administrative processing time.
8. Intellectual Property and Confidentiality
8.1. All materials provided within the Program are the intellectual property of the Provider. The Student agrees not to use the Program materials outside the scope of the course.
8.2. The Student agrees not to disclose, reproduce, or share the proprietary methods, systems, or strategies revealed during the Program with any third party.
9. Liability of the Parties
9.1. The Provider is not liable for achieving specific results, such as an increase in subscribers or views on the Student’s YouTube channel.
9.2. The Student is responsible for attending sessions and completing assignments.
10. Completion of the Program
10.1. Upon successful completion of the Program within the specified period, the Student will receive an electronic certificate, which will be sent to the email address provided during registration or directly via Telegram.
10.2. The Student may extend access to the Program and feedback for an additional fee.
11. Service Limitations
11.1. The Provider does not offer services for designing YouTube channels, completing assignments on behalf of the Student, or sourcing contractors to assist in completing the Program.
12. Termination of the Agreement
12.1. The Agreement may be terminated by mutual consent of the parties or unilaterally by the Student, subject to the conditions in Section 7.
12.2. In case of the Student’s breach of the Agreement, including but not limited to unauthorized sharing of materials, abusive behavior, or breach of intellectual property rights, the Provider reserves the right to terminate the Agreement unilaterally without a refund.
13. Final Provisions
13.1. This Agreement is governed by the laws of Singapore.
13.2. All disputes arising from the Agreement are subject to the exclusive jurisdiction of the courts of Singapore.
